Just Yuli — Terms of Use

This is a translation for convenience. The Hebrew version is the binding one; where the two differ, the Hebrew prevails.

1. Who we are
The service "Just Yuli" ("Yuli", "the service", "the app") is provided by A.S. Golans Management and Holdings Ltd, company no. 517094181, Levi Eshkol 6, Modi'in ("the Company", "we"). Contact: rafig@xspirit.co.il.
"You" — whoever installs the app or uses it.
2. Accepting these terms
Using the app means accepting these terms and the Privacy Policy, which is part of them. If you do not agree — do not use the app. On sign-up you will be asked to tick "I have accepted the terms of use and the privacy policy".
The service is intended for people aged 18 and over [or: 16 and over with a parent's consent — to be decided].
3. What the service does
Yuli is a Hebrew-speaking personal voice assistant that runs on your phone. Subject to the permissions you gave, she can:
- summarise messages that arrive on the phone (WhatsApp, SMS, Telegram) and mail from a Gmail account you connected;
- draft replies and send them only after you approve;
- keep a calendar, reminders, tasks and a shopping list;
- talk with you by voice, answer questions, search the web and prepare reports;
- back your data up, encrypted, to your own Google Drive — if you turned backup on.
The service is in beta. Features may change, disappear or not work as expected.
4. Your account
- You are responsible for the accuracy of the details you gave and for keeping your password. An action from your account is treated as your action.
- An account is personal and may not be transferred.
- You may ask to delete the account at any time (see the Privacy Policy).
5. Subscription and payment
- Use of the service requires a monthly subscription of [__] ILS a month, VAT included. During the beta the service is provided [free of charge].
- The subscription renews automatically each month until you cancel it.
- Cancel at any time: from within the app or by e-mail. Under the Israeli Consumer Protection Law, 5741-1981, cancellation takes effect within [3 business days] of the notice, and no payment is charged for the period after that.
- Distance-contract cancellation: the engagement may be cancelled within 14 days of its making, under the Consumer Protection Law and the Cancellation of Transaction Regulations; cancellation fees, if charged, will not exceed what the law sets [5% of the price or 100 ILS, whichever is lower].
- Refunds: [amounts collected for a period after cancellation takes effect will be refunded within 14 days to the means of payment].
- A price change will be given to you in advance, [30] days before it takes effect, and you may cancel before then.
6. Permitted use
You may not use the app:
- contrary to law, or in order to harm another person's privacy, rights or good name;
- to send messages in someone else's name, spam or bulk messages;
- to attempt to break into, copy, reverse engineer, modify or distribute the app or any part of it;
- to bypass use limits, quotas or security measures;
- in a way that burdens the service or the third-party services it leans on.
You are responsible for the content you ask her to send, and for making sure you have the right to share information about other people that reaches you. A breach may lead to the account being suspended or closed.
7. Artificial intelligence — she can be wrong
- Yuli uses artificial-intelligence models. Her answers, summaries and drafts may be wrong, partial or out of date.
- A summary of a message is not a substitute for reading the message itself. An important message may be classified as unimportant, and the other way round.
- A reminder may fail to ring (for example when the phone is off, in battery-saving mode, or when a permission was revoked). Do not rely on it alone for anything critical.
- What she tells you is not medical, legal, financial, professional or other advice, and is no substitute for a professional. In an emergency — call Magen David Adom (101), the police (100) or the appropriate body, not the app.
- Search results and reports are based on third-party websites, and we have no control over their accuracy.
- Every message or mail is sent only after you approved it ("send it?"). Checking the wording before approving is your responsibility.
8. Third-party services
The service leans on other people's services, subject to their terms:
- Anthropic (Claude) — language understanding, summarising, drafting and web search;
- ElevenLabs — her voice, and transcription of voice messages;
- Google — Gmail, Google Drive, Google Calendar, Android speech recognition and Google sign-in;
- Meta — a Facebook and Instagram page you connected, through Meta's official API only;
- Supabase — account management (identity, subscription, usage counts);
- WhatsApp, Telegram and the phone's SMS — Yuli reads their notifications and answers through the buttons they themselves provide. She does not use unofficial WhatsApp interfaces.
We are not responsible for the availability or operation of these services. A change at their end may cause a feature to stop working.
9. Add-ons (beta)
The beta has add-ons that are off by default and are turned on only at your initiative: automatic sending (through an accessibility service that presses "send" for you after you approved) and listening to voice messages and documents in WhatsApp (through a files-access permission). They are not an official WhatsApp route, may stop working with any update of it, and you turn them on at your own risk. Details in the Privacy Policy.
10. Intellectual property
The app, the code, the design, Yuli's character, the voice chosen for her, the texts and the name "Just Yuli" belong to the Company and are protected by law. You are granted a personal, limited, non-exclusive and non-transferable licence to use the app for your own personal purposes while your subscription is valid. Your content (messages, calendar, memories) — is yours.
11. Limitation of liability
- The service is provided "AS IS" and as available, with no undertaking that it will run without interruption or without errors.
- To the fullest extent the law permits, the Company will not be liable for indirect, consequential or special damage, for loss of profit, for loss of data, for a message that was not read, for a reminder that did not ring, or for a message that was sent after you approved it.
- In any event, the Company's total liability to you will not exceed the amount you paid for the service in the [12] months preceding the event.
- Nothing in this clause derogates from rights the law does not allow to be waived, including rights under the Consumer Protection Law.
12. Ending the service
You may stop using it at any time: cancel the subscription and delete the app. Deleting the app deletes the data on the phone. We may suspend or close an account that breached the terms, or discontinue the service as a whole on [30] days' notice (in which case the proportionate part of a prepayment will be refunded).
13. Changes to the terms
We will update the terms from time to time. A material change will be shown in the app before it takes effect. Continued use after it takes effect is acceptance; if you do not agree — you may cancel.
14. Governing law and jurisdiction
These terms are governed by the laws of the State of Israel alone. Exclusive jurisdiction lies with the competent courts of the Central District, subject to a consumer's right to sue where the law allows.
